Finally Rewards Terms

These Finally Rewards Terms (“Rewards Terms”) are incorporated into and made a part of the Platform Agreement between Company and Finally governing your use of your Finally Account (the “Platform Agreement”). These Rewards Terms govern your participation in the Rewards Program and describe how Company may qualify for, earn, redeem, retain, and/or forfeit Rewards, including Cashback Credits and Points. By opening and maintaining a Finally Account in good standing, you are automatically enrolled in the Rewards Program. Capitalized terms used in these Rewards Terms have the meanings provided in Section 5 below or the Platform Agreement. In the event of any conflict relating to the Rewards Program between these Rewards Terms and any other terms, agreements, or policies set forth in the Platform Agreement, these Rewards Terms shall govern.

Finally may update these Rewards Terms with or without Notice to you by posting an updated version of these Rewards Terms at any time. Rewards are subject to changes, including elimination, at any time. Continued participation in the Rewards Program after any change constitutes your agreement to be bound by any such changes. Some Rewards, such as those relating to Points and Perks, may have additional terms and conditions.

You may participate in the Rewards Program only if you accept all of these Rewards Terms. If you no longer wish to participate in the Rewards Program, you must close your Finally Account.

finally is dedicated to providing the best online banking experience possible, including providing information to you electronically. By accepting this agreement, you agree that you are willing and able to receive Communications in electronic form, and consent to receive Communications in electronic form. If you do not give your consent to receive Communications in electronic and not paper form, you may not open a finally account. If you withdraw your consent to electronic Communications at any point after providing consent hereunder, we reserve the right to terminate your Account.

1. Eligibility and Earning Rewards

1.1 Eligibility for the Rewards Program
To be eligible for the Rewards Program, your Finally Account must be continuously in good standing, you must maintain a Linked Account, and all Users earning Rewards on behalf of Company must be affiliated with and authorized by Company. If your Finally Account is not in good standing for any reason, or we determine in our sole discretion that you are abusing or misusing the Rewards Program or have otherwise violated our Platform Agreement or any of the terms, agreements, and policies incorporated by reference, you may be ineligible to earn or redeem Rewards and may forfeit any Rewards previously earned. We may condition, restrict, limit, or revoke Rewards in our sole discretion.

1.2 Earning Rewards
The Rewards Program allows you to accrue Rewards, including Points, when you make a Qualified Purchase on a Card. For each Qualified Purchase you make, you accrue Points at a rate and in an amount determined by Finally. Rewards are calculated at the end of each billing cycle based on a spend-to-points ratio. 

Rewards may only be available in connection with Card purchases and not any other product or service offered by Finally. You may have the option to convert Points to Cashback Credits, but Rewards are not cash equivalents or stores of value.

Finally reserves the right to limit accrual and redemption of Points, including applying caps or other limitations and conditions. Rewards may expire or be forfeited.

1.3 Qualified Purchases
Certain transactions do not qualify as a Qualified Purchase, including but not limited to foreign and non-USD transactions, cash withdrawals, purchases of prepaid cards and cash equivalents, transactions that are deemed fraudulent, disputed or unauthorized transactions, transactions subject to a Chargeback, refunded transactions, items returned for credit, or any Fees charged to your Finally account. We may determine that a transaction type, or a particular transaction, is excluded from eligibility for earning Rewards in our sole discretion at any time.

You may not earn or may forfeit Rewards for any transactions on which all or a portion of the balance remains outstanding for any reason. Rewards may only be redeemable upon payment in full of amounts owed to Finally.

For any transaction that does not qualify as a Qualified Purchase but for which you have already received Rewards, or if we otherwise awarded you Rewards in error, we may offset such Rewards using your remaining or future Rewards balance or your Finally Account balance.

1.4 Rewards Balance
The amount of Points and other Rewards the Company has accrued will appear in the Services. You are responsible for making sure the Rewards balance reflected in the Services is correct. If you believe that the Services do not accurately reflect the Rewards that you are eligible to receive, please contact Finally’s Customer Support Team at support@finally.com. You must notify us of any errors within 60 days of such information being made available to you. If you do not notify us of any such errors within 60 days, you forfeit the right to contest your Rewards balance, except to the extent such forfeiture is prohibited by applicable law.

If you voluntarily close your Finally Account, you will no longer be able to earn any Rewards on any transactions on which all or a portion of the balance remains outstanding. If your Finally Account is suspended or closed for any reason, you will not earn any Rewards until your Finally Account is restored to good standing under the Platform Agreement and these Reward Terms.

1.5 Additional Rewards Terms
Certain Rewards may be subject to additional terms and conditions that will be provided to you, if applicable. Any Rewards partnerships with Third-Party Service Providers may also be subject to additional terms and conditions determined by the Third-Party Service Provider. We or Third-Party Service Providers may condition when and how you can redeem Rewards. You are solely responsible for reviewing and understanding any such additional terms and conditions, and we disclaim all liability for claims that may arise in connection with or related to Third-Party Service Providers.

Using Rewards

2.1 Rewards Are Not Property
Rewards, including Cashback Credits and Points, are not your property. Rewards can only be redeemed by Company Administrators and business owners, and no User is entitled to use any accrued Rewards other than as approved by an Administrator. Cashback Credits and Points must be affirmatively redeemed by Company through the Services. Cashback Credits will not be automatically applied to your balance.

If Cashback Credits, Points, and any other Rewards are not redeemed, they may be forfeited. Rewards are not transferable to any third party or any other Finally Account, including any other Finally customer, and cannot be transferred by operation of law. Rewards have no cash value and cannot be withdrawn or redeemed for cash value or in any other way.

2.2 Redeeming Rewards
Cashback Credits are solely a credit that can only be redeemed against certain amounts Company owes to Finally under your Finally Account. Points are solely a credit that can be redeemed, transferred, or exchanged for certain offerings from Third-Party Service Providers based on redemption ratios, options, and timing, in each case as determined by Finally. Finally reserves the right to change these terms or revoke availability of redemption at our sole discretion, with or without Notice. Redeemed or transferred Points will be deducted from your Rewards balance immediately.

The membership number on file with a Third-Party Service Provider must match the name of an Administrator authorized to redeem points on your Finally Account. Any difference between these details can cause delays or prevent Points from transferring successfully. Finally will inform you if your request could not be completed.

Once transferred, the Points cannot be refunded, reversed, or transferred back to your Rewards account. Transfers to a Third-Party Service Provider are usually completed within one (1) business day but may take up to fifteen (15) days to be reflected in your Third-Party Service Provider’s account.

Rewards and our Rewards partnerships may be subject to the terms, conditions, and availability of offers by external companies and Third-Party Service Providers. Third-Party Service Providers may condition when and how you earn or redeem Points or other Rewards. You are responsible for reviewing and understanding any such additional terms and conditions, and we disclaim any liability for claims that may arise in connection with Third-Party Service Providers.

Finally is not affiliated with any travel loyalty or gift card programs. We also make no representation about any services provided by Third-Party Service Providers, nor are we responsible for the rules set by the Third-Party Service Providers governing the redemption of Rewards. Once delivered to you, you are solely responsible for the security of any Perks received from Third-Party Service Providers. Finally will not replace any Perks, including in case of loss, theft, or use without your permission.

We may, in our sole discretion, refuse any request to redeem Cashback Credits, Points, and other Rewards if your Finally Account is not in good standing, if any payments are past due, if your Finally Account has been suspended or terminated, or if you have otherwise breached any of your obligations under the Platform Agreement or these Rewards Terms.

2.3 Taxes
Company understands that Rewards may qualify as taxable income for you, and that you are responsible for determining and obtaining appropriate tax treatment for any Rewards it redeems. Company is solely responsible for any tax liability arising from or related to any earned Rewards. Finally will not report any income or earnings related to Rewards to a taxing authority, except where expressly required by law.

Losing Rewards

3.1 Closing Your Account
If your Finally Account is voluntarily closed and your Rewards are not redeemed against the outstanding balance in Company Finally Account, or any other Rewards have not been redeemed, you will lose any remaining Rewards.

3.2 Forfeiting Your Rewards
If your Finally Account is suspended or closed for any other reason, your Rewards may be lost or forfeited, subject to Finally’s sole discretion.

You may be disqualified from participating in the Rewards Program if at any time: (a) any payments you owe to Finally are past due, (b) any prior payments were late, (c) you misuse any Services, (d) you engage in self-dealing (such as using Cards to pay for products or services provided by Company, its affiliates, its beneficial owners, or other persons affiliated with Company), (e) you engage in any Prohibited Activities found in our Prohibited Activities terms or breach any other policies or agreements with Finally, or (f) you attempt to or otherwise game or misuse the Rewards Program.

Where we determine, in our sole discretion, that Company or Users no longer satisfy the requirements for participation in the Rewards Program, we may disqualify you from the Rewards Program, and you may lose or forfeit any Rewards that you may have earned.

We may reinstate any lost or forfeited Rewards in our sole discretion, and we may require a Fee or other conditions to do so.

Other Terms

4.1 Termination of the Rewards Program
Finally may terminate the Rewards Program at any time. If the Agreement is terminated, these Rewards Terms will also immediately terminate.

4.2 Release of Liability
To the maximum extent permitted by law, Company, on behalf of itself, its affiliates, and its Users, releases Finally from all liability for your participation in the Rewards Program.

4.3 Severability and Survival
If any provision of these Rewards Terms is found to be invalid, unlawful, void, or unenforceable, the Rewards Terms’ remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of these Rewards Terms shall remain in full force and effect.

4.4 Waiver
You agree that if Finally does not enforce any of its legal rights or remedies under these Rewards Terms, or any other legal rights or remedies Finally has under applicable laws, it shall not be construed as a formal waiver of those rights or remedies or any other rights in any way whatsoever.

4.5 Assignment
These Rewards Terms will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Neither the course of conduct between parties nor trade practice shall act to modify any provision of the Rewards Terms. You may not assign or transfer these Rewards Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Rewards Terms or any of our rights or obligations under these Rewards Terms at any time without notice.

4.6 Privacy
You and your Users may be required to provide Company Data and Personal Data to redeem Rewards, which may, along with associated transaction information, be provided to third parties. Users who redeem Rewards provided by Third-Party Service Providers consent to Finally providing Personal Data for these purposes. Please review our Privacy Policy.

Definitions

“Cashback Credits” means a credit redeemable to Company’s Finally Account balance.
“Perks” means certain benefits, discounts, or other offers that may be available to participants in the Rewards Program.
“Points” means a unit that may be accrued or earned in a manner defined by Finally, which otherwise has no monetary value.
“Qualified Purchase” means a bona-fide business-related purchase of goods and services made by Customer that meets the requirements in these Rewards Terms, including Section 1.3, and the Platform Agreement.
“Rewards” means Cashback Credits, Points, Perks, and any other benefits offered or conferred by Finally through its Rewards Program.
“Rewards Program” means the program made available by Finally to Company under these Rewards Terms.
